2. Service Description

PROCUROS provides AI-powered tools to assist with procurement processes, including but not limited to:

• Bid document drafting and generation
• Compliance checking against multilateral development bank frameworks
• Bid evaluation and analysis
• Risk assessment and intelligence gathering
• Document review and quality assurance
• Framework-specific guidance and recommendations

Service Availability

We strive to provide 99.9% uptime but do not guarantee uninterrupted service. We may:

• Perform scheduled maintenance with advance notice
• Temporarily suspend services for updates or security patches
• Modify or discontinue features with reasonable notice

3. Account Registration and Security

3.1 Account Creation

To use PROCUROS, you must create an account by providing:

• Valid email address
• Secure password meeting our minimum requirements
• Organization information
• Preferred procurement framework

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your password
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your account information remains accurate and up-to-date

3.3 Account Restrictions

You may not:

• Share your account credentials with others
• Create multiple accounts to circumvent usage limits
• Use automated systems (bots) to create accounts
• Transfer or sell your account to third parties

4. Subscription Tiers and Pricing

4.1 Payment Terms

• Subscriptions are billed monthly or annually in advance
• All fees are non-refundable except as required by law
• Prices may change with 30 days' notice to active subscribers
• Failed payments may result in service suspension
• You may cancel your subscription at any time (no refunds for current period)

4.2 Usage Limits

Each tier has specific usage limits:

• Tool Runs: Number of times you can execute tools per month
• Workspaces: Collaborative project spaces for organizing work
• Storage: Temporary workspace storage (all data auto-deleted per our privacy policy)
• API Calls: For Business tier only, number of API requests per month

Exceeding usage limits may result in temporary service restrictions or upgrade prompts.

5. Acceptable Use Policy

5.1 Permitted Uses

You may use PROCUROS for:

• Legitimate procurement activities
• Preparing bid documents and proposals
• Compliance checking and review
• Internal procurement training and education
• Framework research and analysis

5.2 Prohibited Uses

You may NOT use PROCUROS to:

• Engage in fraudulent activities or bid rigging
• Circumvent procurement regulations or framework requirements
• Generate deliberately misleading or false documentation
• Reverse engineer, decompile, or disassemble our software
• Scrape, spider, or crawl our services
• Attempt to gain unauthorized access to our systems
• Upload malicious code, viruses, or harmful content
• Violate any applicable laws, regulations, or third-party rights
• Resell or redistribute our services without authorization
• Use the service to compete with PROCUROS

6. Intellectual Property Rights

6.1 PROCUROS Ownership

All intellectual property rights in PROCUROS, including but not limited to:

• Software code, algorithms, and architecture
• User interface designs and layouts
• AI models and training data
• Documentation and help materials
• Logos, trademarks, and brand assets

remain the exclusive property of PROCUROS and its licensors.

6.2 Your Content

You retain all ownership rights to content you upload or create using PROCUROS. By using our service, you grant us:

• A limited, non-exclusive license to process your content solely to provide our services
• Permission to use anonymized, aggregated data to improve our AI models
• The right to display your content within your workspace and to authorized collaborators

Important: Per our zero data retention policy, we do not permanently store your uploaded documents or generated outputs.

6.3 Generated Output

You own the output generated by PROCUROS tools, subject to these conditions:

• You are responsible for reviewing and verifying all AI-generated content
• Generated content may be similar to outputs for other users due to framework requirements
• You indemnify us for any claims arising from your use of generated outputs
• Compliance with procurement frameworks is your responsibility

7. Disclaimers and Limitations of Liability

7.1 No Professional Advice

PROCUROS IS A TOOL, NOT A REPLACEMENT FOR PROFESSIONAL JUDGMENT

Our services do not constitute:

• Legal advice or legal services
• Professional procurement consulting
• Certified compliance verification
• Binding interpretations of framework regulations

You should always consult qualified professionals for legal, financial, or procurement advice.

7.2 "As Is" Service

PROCUROS is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, including but not limited to:

• Accuracy, completeness, or reliability of AI-generated content
• Uninterrupted or error-free operation
• Fitness for a particular purpose
• Non-infringement of third-party rights
• Compliance with specific procurement regulations

7.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We are not liable for indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the amount you paid us in the last 12 months
• We are not liable for losses resulting from reliance on AI-generated content
• We are not liable for bid rejections, failed procurements, or financial losses

8. Indemnification

You agree to indemnify, defend, and hold harmless PROCUROS, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of our services
• Your violation of these Terms
• Your violation of any law or third-party rights
• Content you upload or generate using our platform
• Your procurement decisions or activities

9. Termination

9.1 Termination by You

You may terminate your account at any time by:

• Accessing your account settings and selecting "Delete Account"
• Contacting our support team

Termination does not entitle you to a refund for the current billing period.

9.2 Termination by Us

We may suspend or terminate your account immediately if:

• You violate these Terms or our Acceptable Use Policy
• Your payment method fails
• We are required to do so by law
• We discontinue the service (with 30 days' notice)

9.3 Effect of Termination

Upon termination:

• Your access to PROCUROS will cease immediately
• All workspace data will be permanently deleted (per our privacy policy)
• These Terms shall survive to the extent necessary to enforce provisions relating to liability, indemnification, and dispute resolution

10. Dispute Resolution and Governing Law

10.1 Governing Law

If any provision is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

11.4 No Waiver

Our failure to enforce any provision does not constitute a waiver of that provision or any other provision.

11.5 Assignment
